Цель исследования – изучить организацию ВЭД на предприятии и перспективы ее развития. Задачи работы: - ознакомиться с историей деятельности организации; - изучить специализацию ООО "Трансстрой-3"; - рассмотреть организационно-управленческую структуру предприятия; - изучить структуру отдела внешнеэкономических связей и обязанности его работников; - изучить организацию договорных отношений на предприятии; - выявить перспективы развития ВЭД.

The Seller passes the set of all documents during
signing by the Customer the acceptance statement of Materials.
8. ACCEPTANCE OF MATERIALS
8.1. Acceptance of Materials by the Customer is made
at construction site stated in item 4.1. of the Contract.
8.2. If defects and deficiency of Materials are revealed
as well as shortage, incompleteness’ of delivery, defects in packing
and marking as to stated in the transport waybills, upon arrival to
the construction site stated in the item 4.1. of the Contract, representatives
of the Parties shall draw the statement of claims for the Seller.
8.3. If defected Materials are to be returned back
to the Seller all storage and transport expenses are to be paid by the
Seller.
8.4. The property right for Materials as well as the
risk of occasional lost or occasional damage are passed from Seller
to Customer after signing the statement of acceptance of Materials by
the Customer at the construction site stated in the item 4.1. of the
Contract.
8.5. The Parties have the right to invite an independent
expert to take part in acceptance of Materials.
9. LIABILITY
9.1. If Seller fails to comply complete the delivery
of Materials in time stated in the Contract, the amount of funds due
in accordance with acceptance statements drawn in respect of the Materials
shall be decreased by 0.1% of the value of works non-performed for each
day of the delay, the total amount of such not to exceed 5% of total
value of the Contract. The stated penalties do not release the Seller
from his contract obligations.
9.2. If Seller fails to comply complete the works
in time stated in p. 3.1. of the present Contract Sub Contractor pays
to Customer 0.1% penalty of the value of works non-performed for each
day the total amount of such not to exceed 5% of total value of the
Contract.
10. CLAIMS
10.1. Claims on the quality of Materials in case of
defects could be presented within 1 year from the date of delivery of
Materials.
10.2. Form and substantiation of claim should be proved
by statement of acceptance of Materials.
10.3. Seller has the right to check the substantiation
of claims.
10.4. Customer has the right to require from the Seller
the delivery of Materials of proper quality corresponding to introduced
certificates for the amount of defected Materials as well as deliver
under-delivered Materials.
11. FORCE MAJEURE
11.1.Parties shall be relieved from any liability
for full or partial non-performance of their obligation under the present
Contract, if such non-performance results from natural phenomena, operation
of objective factors or other overwhelming circumstances being beyond
reasonable control of the Parties as long as such circumstances persist,
provided, that the circumstances influenced performance of the present
Contract directly.
11.2. If, as a result of the overwhelming circumstances,
a considerable (in the opinion of one of the Parties) damage has been
caused to the construction, such Party shall notify the other Party
of the same within ten days after termination of these circumstances.
After that, the Parties shall discuss expediency of further construction
and conclude additional agreement to stipulate new terms, schedule and
cost of works, such agreement to become an integral part of the present
Contract since the moment of its signing. Otherwise, the Parties shall
initiate termination of the Contract.
12. SETTLEMENT OF DISPUTES
12.1. Disputable matters, which may arise in the course
of performance of the present Contract, shall be resolved by means of
negotiations between the Parties in accordance with the laws and other
legal regulations of Russian Arbitration Court.
12.2. Failure to reach an agreement, the dispute shall
be referred to the Arbitration Court of Moscow.
13. PROCEDURE OF CANCELLATION OF CONTRACT
The Contract may be cancelled:
13.1. Upon agreement of the Parties.
13.2. Upon judgment of the Arbitration Court according
to the legal procedure.
13.3. In other cases and in other ways stated in the
law in force and in the Contract.
14. SPECIAL CONDITIONS
14.1. The Parties agree not to disclose, transmit
or otherwise make available to third parties any information contained
in documents related to joint activities of the Parties under the present
Contract otherwise, that upon written agreement of both Parties.
14.2. All notifications due under the present Contract
shall be made in writing and sent with a registered letter to actual
address of the addressee.
14.3. This Contract comes into force after signing.
14.4. This Contract is signed in Russian and English,
both copies being of the equal legal force.
